Terms of Service

The Service is intended for general wellness purposes only. The information and recommendations provided by Holistiq, including those from our AI wellness coach, are based on general sleep hygiene guidelines and publicly available wellness information. They are not intended to diagnose, treat, cure, or prevent any disease or health condition.

You should always consult a qualified healthcare provider if you:

• •Suspect you have a sleep disorder such as sleep apnea, insomnia, narcolepsy, or restless leg syndrome
• •Experience persistent sleep problems lasting more than two weeks
• •Have symptoms that concern you, such as excessive daytime sleepiness, loud snoring, or breathing interruptions
• •Are taking medications that may affect sleep quality
• •Have underlying health conditions (diabetes, heart disease, depression, etc.)
• •Are pregnant or breastfeeding

Never disregard professional medical advice or delay seeking it because of something you read or received from our Service. In case of a medical emergency, call your local emergency services immediately.

To access certain features of the Service, you must create an account. When creating and using your account, you agree to:

• •Provide accurate, current, and complete information during registration
• •Be at least 18 years of age
• •Maintain the security and confidentiality of your login credentials
• •Notify us immediately of any unauthorized access or security breach
• •Not share your account with others or allow others to access your account

You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

You agree to use the Service responsibly and lawfully. The following activities are strictly prohibited:

• •Using the Service for any illegal purpose or in violation of any applicable laws
• •Uploading content that infringes on intellectual property rights or privacy rights of others
• •Attempting to gain unauthorized access to our systems, other users' accounts, or connected networks
• •Interfering with, disrupting, or placing undue burden on the Service or its infrastructure
• •Distributing malware, viruses, or any harmful code
• •Impersonating others or providing false information
• •Using automated scripts, bots, or scrapers to access the Service
• •Reverse engineering, decompiling, or attempting to extract source code from the Service

The Service, including its original content, features, functionality, design, code, and branding, is owned by Holistiq and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• •Modify, copy, or create derivative works based on the Service
• •Use any data mining, robots, or similar data gathering methods
• •Download or copy any portion of the Service for commercial purposes
• •Use the Holistiq name, logo, or trademarks without written permission

You retain full ownership of any data, screenshots, and content you upload to the Service (“User Content”). By uploading User Content, you grant Holistiq a worldwide, non-exclusive, royalty-free license to use, process, store, and display that content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all necessary rights to upload your User Content and that it does not violate any third-party rights or applicable laws.

Certain features require a paid subscription. By subscribing to a paid plan, you agree to:

• •Payment: Pay all fees as described at the time of purchase via our payment processor (Stripe)
• •Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless canceled
• •Cancellation: You may cancel at any time through your Settings page; access continues until the end of the billing period
• •Refunds: Refunds are handled on a case-by-case basis; contact support within 7 days of purchase for eligibility
• •Price Changes: We may change subscription prices with 30 days' notice before your next renewal

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOLISTIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• •Loss of profits, revenue, or business opportunities
• •Loss of data or corruption of data
• •Personal injury or health issues arising from your use of the Service
• •Any other intangible losses

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

By Holistiq: We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination include, but are not limited to, violations of these Terms, fraudulent activity, or extended periods of inactivity.

By You: You may terminate your account at any time through the Settings → Data & Privacy page. Upon termination, your right to access the Service will immediately cease.

Effect of Termination: Upon termination, we will delete your personal data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including ownership, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring individual claims in small claims court if eligible.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.
